Tesla will hold its 2026 annual meeting on Thursday, Dec. 3, 2026, at 3:00 p.m. CT, online and for a limited number of shareholders at Gigafactory Texas, 1 Tesla Road, Austin, according to the proxy statement it filed with the SEC on Monday, Oct. 19. Holders of record at the close of business on Oct. 13 can vote.

What's on the ballot

The board recommends voting for all three Tesla proposals. No shareholder proposals are listed, and there is no vote on a SpaceX merger, Quartz reported.

  • Proposal One: re-elect CEO Elon Musk, chair Robyn Denholm and director JB Straubel as Class I directors for three-year terms.
  • Proposal Two: a non-binding advisory vote approving 2025 executive pay.
  • Proposal Three: ratify PricewaterhouseCoopers as Tesla's auditor for 2026. Electrek noted PwC has held the job since 2005.

The board also said it won't bring back proposals to declassify itself or drop its supermajority voting rules, Electrek reported. Its 2025 attempt won only 39.4% of outstanding shares, short of the bar, so the staggered board stays and this year's three directors would serve until 2029.

Musk's 2025 pay: $158.4 billion on paper

The say-on-pay vote covers Musk's 2025 compensation, reported at $158,359,009,867, all in stock awards. Reuters, via Investing.com, said that figure reflects his 2025 CEO Performance Award of about 423.7 million restricted shares. None of that award's 12 tranches has been earned; each needs a market-cap milestone from $2 trillion to $8.5 trillion plus an operational target. Until a tranche is earned, the unearned shares vote in proportion to all other shares, Quartz reported.

The proxy also discloses that Musk exercised all 303.96 million options from his 2018 award on June 16, 2026, leaving 286.4 million restricted shares that vest in January 2028 if he stays in a leadership role, Reuters said. Musk beneficially owns 19.8% of Tesla, including 207.5 million pledged shares.

The new auto-vote button

This meeting launches Tesla's Voluntary Retail Voting Program. Retail investors voting through platforms including ProxyVote.com and Robinhood can sign up for a standing instruction that carries over to later meetings. There are two choices: vote with the board on everything, or vote with the board on everything except contested director elections and any merger, acquisition or divestiture that needs a shareholder vote. Electrek noted there is no standing option to vote against the board.

The standing instructions do not apply to the Dec. 3 meeting. They start with the next shareholder meeting. Reuters said Tesla worked with the SEC for months on the framework and got a formal no-action letter.

The SpaceX threads

Electrek flagged that director Ira Ehrenpreis, who chairs Tesla's compensation and governance committees, joined SpaceX's board in February. The proxy also shows $430.1 million of 2025 Tesla revenue from xAI, mostly Megapacks, and $143.3 million from SpaceX, mostly vehicles, Electrek reported. Barclays has floated a SpaceX-Tesla deal before this meeting; see our Barclays merger note and the Shotwell follow story. Neither company has announced a deal.
